Definitions and Interpretation

Definitions. In this Terms, the following capitalised terms have the meanings set out below.

Interpretation. In this Terms, unless the context requires otherwise:

(a) Headings are for convenience only and do not affect interpretation.

(b) Words in the singular include the plural and vice versa. A reference to a person includes an individual, company, partnership, government body or other entity.

(c) "Including", "include", "for example" and similar expressions mean including without limitation.

(f) A reference to any document, including a policy published on Nurel's website, is to that document as updated from time to time in accordance with its terms.

(g) "Writing" and "written" include email, but not instant messaging or text messages, except where this Terms requires a signed document.

(h) "Days" means calendar days unless Business Days are specified. Times are in Indian Standard Time (IST) unless stated otherwise.

(i) A reference to a party includes its successors and permitted assigns.

(j) No provision of this Terms will be interpreted against a party merely because that party prepared it.

(k) Where a term is defined both in this section and elsewhere in this Terms, the definitions are intended to have the same meaning. If they conflict, the more specific definition applies to the provision in which it appears.

1. About These Terms

1.1 These Terms govern your access to and use of the Website. By using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

1.2 These Terms do not govern use of the Services. Use of the Services is governed by the MSA or other written agreement between Nurel and the customer.

2. Who We Are

2.1 The Website is operated by NUREL TECHNOLOGIES (OPC) PRIVATE LIMITED, a company incorporated in India with corporate identity number U62012GJ2026OPC183458 and its registered office at 401 Satatya Syril, S.G. 3. Use of the Website

3.1 The Website is intended for business use by persons aged 18 or over. You may use the Website to learn about Nurel and WFMPro, contact us, request a demonstration and access the Services if you have an account.

3.2 You must not: (a) use the Website unlawfully or for any fraudulent purpose; (b) attempt to gain unauthorised access to the Website, the Services or any related system; (c) introduce malicious code or carry out any attack, including denial-of-service attacks; (d) use automated tools to scrape or copy Content, except for standard search-engine indexing; (e) submit false information or impersonate any person; or (f) use the Website to send unsolicited marketing.

3.3 We may suspend or restrict access to the Website at any time, for example for maintenance or security reasons.

4. Intellectual Property

4.1 Nurel and its licensors own all Intellectual Property Rights in the Website and the Content. "Nurel Technologies" and the device of N are the subject of trade mark applications filed by Nurel in India in classes 9 and 42; "WFMPro" and the other names and logos we use are unregistered trademarks of Nurel.

4.2 You may view and print Content for your internal business purposes. You must not otherwise copy, modify, distribute or commercially exploit Content without our prior written permission.

5. Information on the Website

5.1 Content is provided for general information only. It does not form part of any contract and is not professional advice. Product descriptions, features and roadmaps may change. Any commitment about the Services is set out only in a signed agreement.

5.2 We aim to keep the Content accurate and up to date, but we do not guarantee that it is complete, accurate or current.

6.1 The Website may link to third-party websites. We are not responsible for their content or privacy practices. You may link to our home page in a fair and lawful way that does not suggest any association or endorsement that does not exist.

9.1 To the maximum extent permitted by Applicable Law, Nurel is not liable for any indirect or consequential loss, or any loss of profit, revenue, data or goodwill, arising from your use of, or inability to use, the Website or reliance on any Content.

9.2 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Applicable Law.

10.1 We may update these Terms by posting a new version on the Website. The version in force when you use the Website applies.

11. Governing Law and Jurisdiction

11.1 These Terms are governed by the laws of India. The courts at Ahmedabad, Gujarat have exclusive jurisdiction over any dispute arising from them, without affecting any mandatory rights you have under the laws of your country of residence.
